# NeoDAS Standard End User License Agreement Version: `NEODAS-STANDARD-EULA-2026-09-14.2` Licensor: Morris Lane LLC. Customer is the individual or organization identified in the accepted order. This agreement takes effect when Customer affirmatively accepts its exact version and SHA-256 digest at checkout. Payment must be successfully confirmed before a paid software entitlement is issued. ## 1. Standard license and price NeoDAS Standard costs USD $250 one-time. Subject to confirmed payment, this agreement and the existing signed license and deployment authorization, Customer receives a nonexclusive, perpetual license to use the purchased NeoDAS major version through the authorized installation. Controlled recovery or rehosting uses the existing license and identity records; it does not create additional concurrent deployment rights. Standard includes no paid DNA Registry capacity slots. Hosted services and any separately purchased registry plan remain separate entitlements. NeoDAS — 20 Agent Edition is listed at USD $500 one-time for up to 20 registered AI identities, subject to the separate existing Digital DNA and DebbieCore service terms. This Standard agreement does not authorize purchase of that edition while its deployment terms remain pending. Standard launches first. ## 2. One-time software purchase and separate services The base software purchase is a one-time payment for the purchased major version. It has no recurring software charge or annual software term. Checkout retries and repeated payment notifications create one purchase entitlement for the same successful payment. Digital DNA and DebbieCore hosted services use separate subscription plans and authorizations. The existing catalog lists DNA 5 at USD $20/month for 5 active AI slots and DNA 20 at USD $80/month for 20 active AI slots. Standard includes no paid DNA service slots. Service capabilities, active slot limits, included-service offers and hosted update eligibility follow the separate accepted service terms and signed service entitlement. The base software purchase does not authorize recurring service charges. Future add-ons and future paid major versions may be sold separately. DasBot is a separate subscription product whose app is unfinished and is coming when verified ready. Hermes is an unfinished future paid product. Neither is included in the NeoDAS base purchase or represented as ready by this agreement. The current release scope is Linux; Windows and macOS packages are unavailable. ## 3. Local sovereign state and recovery Customer retains Digital DNA, AI identity, DDMS memory, locally retained customer data and recovery/export capability. A separate service's cancellation or loss of connectivity does not erase or replace those records or convert the purchased software into a subscription. Local software recovery does not require an active Registry service. Separate signed service, activation, security and revocation checks still apply to the capabilities they authorize. Hosted service eligibility does not grant extra installation or deployment rights. A temporary DebbieCore outage does not erase local identity, Digital DNA or DDMS. ## 4. Activation, identity and registration A software purchase does not itself create an AI identity, Digital DNA, a paid DNA Registry subscription, a capacity slot or an Operating Certificate. Every AI has its own permanent AI Identity and unique Digital DNA. Two AIs must not share a permanent AI Identity or genesis DNA. Licensed activation and deployment use the existing signed software license, installation binding, identity, Digital DNA, registration and operating authority. Customer may use controlled recovery and rehosting without replacing the AI identity or its DNA history. A migration must not be used to exceed the deployment or service scope in the signed authorization. DebbieCore registration concerns public identity and verifiable authority records. It does not transfer private DDMS memory, private conversations, prompts, credentials, API keys, private documents, raw local files, private model inputs or customer business data into a central identity registry. Connected services require their own applicable authorization. ## 5. Customer ownership and permitted use Customer retains its rights in customer data and its ownership or license relationship for the identified AI asset. Morris Lane LLC and its licensors retain their rights in NeoDAS software. The software license does not transfer ownership of NeoDAS source code or third-party components. Customer must not forge or substitute licenses, signatures, DNA, identity, activation or release evidence; extract private signing keys; share activation material beyond its authorized scope; or falsely claim Foundry authenticity. Only verified MetaMatrix Foundry admission and signed lineage support a Foundry-authenticity claim. NeoDAS installation or public DNA registration alone does not establish that provenance. Debbie's genesis identity and DNA may not be cloned, reissued or sold as a customer identity. Customer must use the software lawfully and maintain appropriate access controls, backups and human oversight for its use. These restrictions do not limit rights that applicable law does not permit an agreement to exclude, including applicable interoperability rights. ## 6. Third-party components and available rights Third-party components remain subject to their own license terms, notices and applicable source-offer obligations. This agreement does not replace, narrow or relicense third-party rights. Models, content and services may require their own licenses or permissions. Applicable statutory warranties, remedies, refund and cancellation rights remain available. This agreement adds no mandatory arbitration, class-action waiver, special venue, liability cap, indemnity obligation or warranty exclusion. A payment reversal or valid termination may affect the corresponding paid entitlement through the existing authenticated process. It does not authorize destruction or replacement of AI identity, Digital DNA, DDMS, local customer data or recovery/export capability. A restored payment reuses the existing identity and records. ## 7. Exact agreement and order record Checkout must make this complete agreement available before payment and bind affirmative acceptance to Customer, order, version and SHA-256 digest. Customer may retain the agreement and order receipt. The accepted agreement, order and signed license/entitlement records define the purchased scope. Third-party terms control their components; applicable nonwaivable rights remain intact. A later policy or agreement does not retroactively replace the accepted bytes, convert the purchased perpetual software license into a subscription, replace an AI identity or erase customer data. Material changes to future purchases must be disclosed before acceptance. Product support and purchase inquiries use the existing AI MetaMatrix customer support and order channels.
